APEX Tech Acquisition Inc. (the "Company") is a blank check company incorporated in the Cayman Islands as an exempted company, formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses. While the Company's efforts to identify a prospective target business are not limited to a particular industry or geographic region, the Company intends to prioritize target businesses with principal operations in the United States.
On February 27, 2026, the Company consummated its initial public offering of 11,197,131 units at an offering price of $10.00 per unit, generating gross proceeds of $111,971,310, including the partial exercise of the underwriters' over-allotment option. On April 15, 2026, the Company closed the sale of an additional 302,869 units upon the underwriters' exercise in full of their over-allotment option, generating additional gross proceeds of $3,028,690 — bringing the total to 11,500,000 units sold in the initial public offering and aggregate gross proceeds of $115,000,000.
Proceeds from the initial public offering and the concurrent private placements are held in a United States-based trust account maintained by Continental Stock Transfer & Trust Company, as trustee, and will be released only upon the earlier of the completion of the Company's initial business combination, the redemption of public shares in connection with certain amendments to the Company's amended and restated memorandum and articles of association, or the redemption of public shares if the Company does not complete an initial business combination within the required time period.
